1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Energy FW Ltd ("we", "our", or "us") governing your use of Scalix Prime, our graph-relational data platform, including the website at prime.scalix.world, the interactive demo, and any deployed instances of the software.
By accessing or using Scalix Prime, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Service Description
Scalix Prime is a graph-relational data engine designed for:
- Unified graph and relational data storage and querying (SQL + Cypher).
- Knowledge graph construction with built-in ontology management.
- Code intelligence and multi-language codebase analysis.
- AI-powered search, natural language queries, and multi-agent reasoning.
- Enterprise security with property-level access control.
We offer multiple deployment models: (1) Embedded or self-hosted deployment, (2) On-premise enterprise deployment, and (3) Cloud-hosted managed service (future).
3. Licence Grant
Self-Hosted and Embedded Deployment
Subject to your compliance with these Terms and payment of applicable fees, Energy FW Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to:
- Install and use Scalix Prime on your own infrastructure.
- Configure and customise the platform for your organisation's needs.
- Access technical support and updates as outlined in your service agreement.
Cloud-Hosted Service
For managed cloud services (when available), you receive access to Scalix Prime hosted on our infrastructure, subject to usage limits and pricing as outlined in your service plan.
Demo and Evaluation Use
The interactive demo available on this website is provided strictly for evaluation purposes. All datasets used in the demo are synthetic and do not represent real-world data. You may not rely on demo outputs for any production, commercial, or decision-making purpose.
4. Data Ownership and Privacy
Your Data
You retain all ownership rights to your data, queries, results, and any content you process through Scalix Prime. We do not claim ownership of your data.
Self-Hosted Deployments
For self-hosted and embedded deployments, your data never leaves your infrastructure. You maintain complete control and responsibility for data security, backups, and compliance.
Cloud-Hosted Service
For cloud-hosted deployments, we process your data solely to provide the service. We do not use your data to train AI models or for any purpose beyond service delivery. See our Privacy Policy for details.
5. Acceptable Use Policy
When using Scalix Prime, you agree not to:
- Violate any applicable laws, regulations, or third-party rights.
- Generate, distribute, or facilitate illegal, harmful, or malicious content.
- Attempt to gain unauthorised access to systems, accounts, or networks.
- Reverse-engineer, decompile, or disassemble the software (except as permitted by law).
- Remove, obscure, or alter any proprietary notices or labels.
- Use the service to compete with Scalix or develop competing products.
- Overload, interfere with, or disrupt the platform or connected infrastructure.
- Sublicense, resell, or redistribute the service without written authorisation.
- Use automated tools to scrape or extract data from the website or demo.
6. Payment Terms
Pricing for Scalix Prime is tailored based on deployment model, scale, and support requirements.
- Enterprise Licences: Annual or multi-year licensing with upfront or instalment payment options.
- Cloud-Hosted: Usage-based billing with monthly invoicing (when available).
- Late Payments: Overdue amounts may accrue interest at 1.5% per month or the maximum allowed by law.
- Taxes: Fees are exclusive of taxes; you are responsible for all applicable VAT, sales, use, and withholding taxes.
- Refunds: All fees are non-refundable except as required by law or stated in your service agreement.
7. Service Level Agreement (SLA)
For cloud-hosted services, we commit to:
- Uptime: 99.9% monthly uptime (excluding scheduled maintenance).
- Support: 24/7 priority support for enterprise customers.
- Incident Response: Critical issues addressed within 2 hours.
SLA credits may be available for downtime exceeding commitments. See your service agreement for specifics.
8. Intellectual Property
All content, software, designs, logos, trademarks, and other intellectual property associated with Scalix Prime are the exclusive property of Energy FW Ltd and its licensors. These Terms do not grant you any rights to our trademarks, service marks, or logos except as necessary for normal use of the service.
You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.
9. Warranties and Disclaimers
Scalix Prime is provided "AS IS" and "AS AVAILABLE." While we strive for high quality and reliability, we make no warranties, express or implied, including:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Guarantees of uninterrupted, error-free, or secure operation.
- Accuracy, reliability, or completeness of results or content.
You acknowledge that AI-powered features (natural language queries, multi-agent reasoning) may produce unexpected or inaccurate outputs. We are not responsible for decisions made based on AI-generated results.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Energy FW Ltd's total liability shall not exceed the fees paid by you in the 12 months preceding the claim, or fifty pounds sterling (GBP 50), whichever is greater.
- We are not liable for indirect, incidental, consequential, special, or punitive damages.
- This includes damages for lost profits, data loss, business interruption, or reputational harm.
- These limitations apply even if we were advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Energy FW Ltd, its affiliates, and personnel from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of Scalix Prime.
- Violation of these Terms or applicable laws.
- Infringement of third-party rights.
- Your data, content, or AI-generated outputs.
12. Term and Termination
Termination by You
You may terminate at any time by ceasing use and providing written notice. Prepaid fees are non-refundable.
Termination by Us
We may suspend or terminate your access immediately if you:
- Breach these Terms or the Acceptable Use Policy.
- Fail to pay fees when due (after a 30-day notice period).
- Engage in fraudulent, illegal, or harmful activities.
- Pose a security risk to the platform or other users.
Effect of Termination
Upon termination: (1) Your licence to use Scalix Prime ends immediately, (2) You must cease all use and delete copies of the software (self-hosted), (3) You may export your data within 30 days (cloud-hosted), after which it may be deleted.
13. Export Compliance
Scalix Prime may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws, and not to export, re-export, or transfer the software to prohibited countries, entities, or individuals.
14. Modifications to These Terms
We may update these Terms periodically. For material changes, we will provide at least 30 days' notice via email or prominent website notice. Continued use after changes constitutes acceptance.
For enterprise customers with custom service agreements, your agreement takes precedence over these standard Terms where conflicts exist.
15. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of Scalix Prime at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Miscellaneous
Entire Agreement
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Energy FW Ltd regarding the service.
Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver
Failure to enforce any right or provision does not constitute a waiver of that right.
Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
